Terms of Service
Quaras Inc. ("Quaras" hereinafter) sets forth below the terms of service ("Terms" hereinafter) for the "JYP JAPAN ONLINE STORE" operated by Quaras ("Website" hereinafter, and the service that Quaras provides through the Website is referred to as "Service" hereinafter). Please read these Terms thoroughly before using the Service.
Article 1 Scope
- These Terms apply to all matters regarding the Service between Quaras and the user of the Service ("User" hereinafter), and the User must read and consent to the content of these Terms before using the Service.
- The Usage Guide, Help, and Frequently Asked Questions sections appearing on the Website, as well as any other separately specified rules ("Rules, etc." hereinafter), are considered to be part of these Terms.
Article 2 Alteration
- In the following cases, Quaras may alter these Terms at its own discretion without prior notification.
- When the alteration conforms to the general benefit of the User.
- When the alteration does not oppose the purpose of the agreement and is reasonable when considered in light of the necessity of alteration, the legitimateness of the altered content, the content of the alteration, and any other circumstances related to the alteration.
- When Quaras revises these Terms, Quaras shall issue a notification or announcement specifying that the Terms are being altered, the content of the altered Terms, and the date on which the alterations take effect. Quaras shall issue the notification or announcement via e-mail to the User, listing on individual services, or any other method deemed appropriate by Quaras.
- If the User uses the Service on or after the date on which the altered Terms take effect, Quaras shall deem the User to have consented to that alteration.
Article 3 Using the Service
- The User shall use the Service in compliance with these Terms and any other terms, rules, etc. set forth by Quaras.
- If the User is a minor, the User must obtain consent from a guardian before using the Service.
Article 4 Copyrights
The User shall not, without obtaining the permission of the rights holder, use any information supplied via this Service outside the scope of personal usage, regardless of the usage method. If the User violates the provisions of this Article and any type of dispute arises, the User shall be responsible for resolving the related problems at the expense of the User, and shall not inflict any difficulties or damages on Quaras whatsoever.
Article 5 Handling personal information
Quaras shall handle the personal information of the User pursuant to the "Privacy Policy" set forth separately by Quaras.
Article 6 Membership registration
- In these Terms, the word "member" refers to an individual who consents to these Terms and any rules, etc. set forth separately by Quaras, applies for membership registration via a procedure designated by Quaras, and is approved for registration by Quaras. By becoming a member, the User may purchase products on the Website via the Service. Furthermore, member registration is free of charge.
- If any changes occur in all or any part of the registration information, the User shall promptly change the registration details via a method designated by Quaras.
- If it is discovered that the individual desiring membership registration has had a membership registration deleted in the past due to a violation of these Terms etc., if any falsehoods are discovered in the application for membership registration, or if Quaras decides for any other reason that the application for membership registration cannot be approved, application for membership registration shall be denied.
Article 7 Management of ID, password, and membership registration information
- The User is responsible for saving and maintaining the login ID and password that the User registers.
- The User shall not transfer, lend, or disclose member information to, or allow usage of such by, a third party.
- The User is solely liable for any detriment, damages, falsification, etc. arising due to third party usage, etc., of member information, and Quaras is not liable whatsoever.
- If the User discovers that a third party is illicitly using member information, the User shall immediately contact Quaras.
Article 8 Withdrawal and deletion of membership registration
- If the User wishes to cancel membership registration for the Service, the User can withdraw by following the designated process.
- If any of the following circumstances apply to the member, Quaras can suspend usage of, or delete membership registration for, the Service without issuing prior notification to the member.Furthermore, if the User has registered multiple membership accounts, all accounts may be subject to the same measures.
- If the User engages in any of the prohibited conduct specified in Article 9
- If the User violates these Terms
- If Quaras determines the member to be inappropriate as a member for any other reason
Article 9 Prohibited conduct
The User shall never engage in any of the following conduct while using the Service.Furthermore, if Quaras or any Quaras partners suffer damages due to violations by the User, the User may be subject to a damage compensation claim.
- Conduct that injures the reputation of Quaras, other Users, or a third party, or conduct that inflicts or could possibly inflict inconvenience, detriment, or damages
- Conduct that impedes Service operation or business or any other conduct that could possibly present an obstruction to operation of the Service
- Conduct that injures the reputation of the Service or Quaras
- Ordering products without a true intent to purchase
- Illicitly employing third party personal information or falsified information to use the Service
- Including falsehoods in registration information during application
- Illegal conduct, conduct that is contrary to public policy, conduct that violates the law or regulations, or conduct that may potentially constitute such conduct
- Conduct in actual or potential violation of the various terms and rules set forth by Quaras
- Conduct that imposes unwarranted burden on the server in relation to the Service or conduct that hinders the usage of another User
- Delivery of information containing a computer virus or any other type of harmful computer program, or conduct that allows a third party to receive such
- Illicit usage or falsification of data pertaining to the Service
- Conduct that treats goods, etc. acquired through usage of the Service as objects of for-profit transactions (including conduct that treats the goods, etc. as objects for reselling, internet auctions, etc.)
- Illicit acquisition of data pertaining to the Service or disclosure or transfer of such data to a third party (whether for free or for profit)
- Any other conduct that Quaras deems inappropriate
Article 10 Establishing purchase agreements
- A purchase agreement between the User and Quaras is established when Quaras accepts order information from the User. However, if order information sent by the member does not reach Quaras due to system failure, the order does not come into force and Quaras bears no liability for any related damages suffered by the member.
- Minor members must always obtain consent from a guardian before ordering products.
- After a purchase agreement is established, Quaras shall bill the member the fee pursuant to the purchase agreement established between the member and Quaras ("Fee" hereinafter). Quaras shall bill the member via the payment method that the member designates at the time of order, from among the payment method options set forth in Paragraph 1 of Article 12.
Article 11 Agreement cancellation
- If, after a purchase agreement is established, any of the following circumstances apply, Quaras can cancel the purchase agreement. In this case, Quaras shall contact the member individually.
- If Quaras is unable to deliver product because the delivery location is unclear or the member is not present for a long period.
- If a falsehood has been recognized in the personal information of the User.
- If the User has not completed payment of the Fee within the designated time.
- If the user chooses credit card payment and the payment is not approved by the credit card company or an unspecified error occurs.
- If the User does not issue the necessary response within 2 weeks to communication from Quaras (to the e-mail address, or any other contact information, registered by the User) regarding product purchase terms (Fee payment, product handover, or other terms).
- If manufacturing of a product is discontinued at the manufacturer or supplier, or if supply becomes impossible for any other reason.
- If it becomes impossible to deliver the product for grounds not attributable to Quaras.
- In the event of a large purchase of the same product by the same user (including but not limited to multiple purchase applications within a short period of time), if the Company considers the application to be inappropriate.
- If the Company determines that the purchase is a bulk purchase for the purpose of reselling the goods.
- If your address does not have a street address.
- Unable to contact your registered phone number/email address or verify your identity.
- Notwithstanding the provisions of the previous paragraph, if any illicit or inappropriate conduct arises regarding Service usage, Quaras can retract or cancel the purchase agreement, or take any other appropriate measures.
Article 12 Payment method
- When purchasing products, the User can select either the credit card payment option or the convenience store payment option.
- Quaras can add to or delete any of the payment method options set forth in the previous paragraph.
- If Quaras receives a notice of credit failure on a credit card from the credit card company designated by the User, Quaras can bill the User for Fee payment via a different payment method.
Article 13 Suspension of Service
In order to maintain the operational state of the Service in a good condition, Quaras can suspend the entirety or a portion of Service providing without issuing a prior notification to the User in the following cases.
- Regular or emergency system maintenance
- If system operation becomes difficult due to fire, power failure, obstruction by a third party, etc.
- If the Service cannot be supplied due to a natural disaster or any other force majeure circumstance
- If deemed necessary by Quaras for any other reason
Article 14 Exemptions and damage compensation
- Quaras is not liable whatsoever for any damages arising due to the registered member being unable to use the Service.
- Quaras is exempt when transacting business according to the registered information.
- Quaras offers absolutely no guarantees regarding the completeness, accuracy, reliability, utility, etc. of the contents of the Service, information attained through usage of the Service by the registered member, etc.
- If the registered member inflicts damages, etc. on other registered members or third parties by using the Service, the registered member shall be responsible for resolving the related problems at their own expense, and shall not inflict any difficulties or damages on Quaras whatsoever.
Article 15 Other provisions
Generally, communication between Quaras and the User shall be conducted in e-mail.
Regarding usage of the Service, if any unresolvable problems related to these Terms, etc. arise, Quaras and the User shall discuss and resolve such in mutual good faith.
Regarding the interpretation and application of these Terms, the law of Japan shall be applied.
If any legal action regarding usage of this Service becomes necessary, both parties agree that the Tokyo District Court shall be the exclusive jurisdictional court of first instance.
Point Service Terms
Quaras Inc. ("Quaras" hereinafter) herein sets forth the following Point Service Terms ("Terms" hereinafter) regarding the supplying of a point service for members who have registered as members pursuant to the Terms of Service ("Member" hereinafter) on the online shopping website operated by Quaras called "JYP JAPAN ONLINE STORE" ("Website" hereinafter). Matters not set forth in these Terms are governed by Terms of Service as well as the Website usage guide (FAQ), Privacy Policy, and any other rules and guidance that Quaras sets forth and enumerates to the Member.
Article 1 Point types
- When the Member purchases product designated by Quaras on the Website ("Product" hereinafter), or any other case set forth by Quaras, Quaras awards points according to conditions and qualifications set forth by Quaras ("Point(s)" hereinafter). However, Points are not awarded for shipping fees, COD processing fees, and payment processing fees.
- 1 Point is awarded for every 220 yen (consumption tax included) for each 1 purchase of Product.
Article 2 Awarding timetable
Points are actually awarded after a set amount of time has passed from the point at which the Product is shipped (20 days from the day after the Product is shipped, except in cases in which Quaras specifies otherwise separately). The Member can use Points after estimated Points have been actually awarded as real Points. If a Product purchase is cancelled, if Product is returned due to the delivery of defected or damaged Product or the wrong Product without being exchanged for new Product, or if the Member does not accept a Product delivery for reasons attributable to the Member, Quaras will delete Points that had been estimated based on that Product or decrease already awarded Points.
Article 3 Expiration
Points expire 1 year after the date on which they were awarded.
Article 4 Using Points
- Points can only be used by the Member who was awarded the Points.
- The Member can use Points in Product fee and shipping fees when purchasing Product, with a calculation of 1 Point = 1 yen. However, the Member may not use Points in payments of Product fees separately designated by Quaras, COD processing fees, and payment processing fees.
- There is no maximum limit on the number of Points a Member can use for 1 purchase.
- Quaras can set conditions and restrictions regarding Point usage.
- When the Member purchases Product using Points, and that purchase is subsequently canceled or the Product returned due to the delivery of defected or damaged Product or the wrong Product, without being exchanged for new Product, the Points that had been used are returned. However, the Point returning process takes several days.
Article 5 Checking Member Points
The number of Points possessed by the Member, the history of Point acquisition and usage, the expiration dates, etc. can be checked at the "My Page" on the Website.
Article 6 Prohibitions
- The Member cannot share Points possessed by the Member with other Members. The Member also cannot add or transfer such Points to the Points of other Members.
- If the Member has multiple Member accounts, the Member cannot add Points together from among the Points possessed in separate Member accounts. Furthermore, the Member cannot request Points to be divided among multiple Member accounts.
Article 7 Losing Points
- If any of the following circumstances apply to the Member, Quaras can delete the entirety or a portion of the Points possessed by that Member without issuing any sort of official demand or notice.
- If the Member is issued Points through illicit means, and acquires those Points
- If the Member violates these Terms
- If Quaras determines that Point ownership is inappropriate for reasons other than the circumstances specified in the previous 2 items
- If the Member loses membership, the Member also loses the Points that the Member possessed simultaneously with loss of membership, and can no longer use those Points, regardless of the expiration date of the Points.
- Quaras will never reissue Points that have been deleted, regardless of the reason.
Article 8 Other provisions
- If Quaras deems reasonable grounds exist necessitating the revision of Point quantity, Quaras may revise the number of Member Points.
- The Member may not exchange Points for money.
- Quaras can alter, suspend, or terminate the entirety or a portion of the Point service after issuing prior notice to the Member through a method deemed appropriate by Quaras. However, prior notice is not required in emergency cases. In such a case, Quaras will notify the Member promptly afterwards.
- Quaras is not liable whatsoever for any damages, losses, or prejudice arising to the Member due to the alteration, suspension, or termination of the entirety or a portion of the Point service pursuant to the previous paragraph.
- In the following cases, Quaras can alter these Terms at its discretion without issuing prior notice.
- If the alteration to these Terms is generally beneficial to Members
- When the alteration to these Terms does not contradict the purpose of the agreement and is reasonable when viewed in the context of the necessity of the alteration, the justifiability of the altered content, the content of the alteration, and any other circumstances pertaining to the alteration
- When Quaras revises these Terms, Quaras shall notify the Member of the fact that these Terms will be altered, the altered content of these Terms, and the day on which the alterations take effect. This notification shall be communicated via e-mail, individual service announcement, or any other method deemed appropriate by Quaras.
- Usage of the Point service by the Member on and after the day on which the altered Terms take effect constitutes agreement by the Member to the alterations.
Article 9 Exemptions
- Quaras is not liable whatsoever for any damages, losses, or prejudice arising to the Member due to the Member using, or not using, Points in the Point service.
- When the Member ID and password are entered and verified through a method set forth by Quaras, and Points are used, Quaras assumes the Points were used by that Member. In this case, even in cases wherein Points were used illicitly, etc., Quaras bears no liability whatsoever, and will not return the used Points.
